• Incorporation of companies, local and foreign for the purpose of doing business in Tanzania. Also incorporation of trustees, societies, civil societies, NGOs and other forms of body corporate.
• Recovery through Receivership under Debenture and Under the Mortgage.
• Winding up/liquidation of corporate entities.
• Contract documentation, drafting of all forms of contracts and deeds.
• Standby legal advice on various legal and extra-legal matters which arise in the day-to-day operations of corporate entities.
• To provide litigation avoidance plans and strategies to avoid court cases.
• To act as external Corporate Secretary on a retainer for local and foreign companies.
• To assist companies in meeting their compliance obligations as to statutory filings, issuing notices for statutory meetings, drafting of resolutions, preparing minutes and resolutions, and generally enabling companies to keep up date with all statutory compliance requirements.
• Preparation of board packs, statutory board and shareholders meetings’ agendas, attending the meetings and taking record of the proceedings.
• Filing of the Annual Returns as well as other filings as prescribed under the Companies Act. Depending on the instructions of the client.
• Maintaning the mandatory statutory books, including the minutes book, combined register of members and directors and the share certificate book and where available, the company seal.
• Every company is obliged to notify BRELA of its registered office for purposes of service of notice and we use our offices for such purpose on behalf of our retainer clients.
